Project/company overview
Following ESG due diligence assessments, Adaptus developed Environmental and Social Action Plans (ESAPs) for two data centre clients, True IDC in Thailand and a global data centre operator in Malaysia. The ESAPs formalised the pathway from identified compliance gaps to resolution that satisfies lenders. ESAPs are binding loan conditions that define, for each identified gap, the specific action required, the responsible party, the timing trigger and the objectively verifiable deliverable.
Problem
ESG due diligence identified compliance gaps against EP4 and the IFC Performance Standards that needed to be closed before and after financial close. Clients needed a structured, time bound action plan that satisfied lender requirements, assigned clear accountability and defined verifiable deliverables for each gap.
The ESAPs needed to be structured so that an Independent Environmental and Social Consultant (IESC), appointed by the lender group under EP4 Principle 7, could monitor and verify the borrower’s compliance for the life of the loan without reference to any other document. This required careful organisation of actions into conditions precedent to financial close, time bound conditions after financial close, and ongoing covenants.
Beyond the immediate transaction, clients also needed the ESAP to define the pathway from a corrective action plan to a fully functional Environmental and Social Management System, moving from closing gaps to sustainable, ongoing E&S management capability.
Approach/ Outcome
We converted each due diligence finding into a named action with a responsible party, a specific timing trigger and an objectively verifiable deliverable. Each action was cross referenced to its originating finding and the applicable international standard.
Actions were then organised into the structure lenders require: a schedule of completed actions evidenced at signing, conditions precedent to financial close, time bound conditions after financial close, and ongoing covenants for the life of the loan. Actions with drawstop provisions were clearly flagged. Related findings were grouped into coherent workstreams, each with defined closure triggers and ongoing monitoring requirements.
We also defined the three stage maturation path from ESAP (corrective action plan) to ESMP (detailed management procedures) to ESMS (fully implemented management system), including the required management plans, document hierarchy and integration with each client’s existing management systems.
Value
Both ESAPs gave clients structured, time bound action plans that satisfied lender requirements and enabled informed financing decisions, with clear accountability and verifiable milestones. Compliance gaps identified during due diligence became actionable workstreams with named responsible parties and defined timelines, so clients could close gaps ahead of independent review.
The ESAPs established clear pathways from corrective action plans to comprehensive Environmental and Social Management Systems, building long term E&S capability within each client’s organisation.
